If you own a business in Florida, you must file an Annual Report each year to maintain your company’s active status with the state. Missing the deadline can result in hefty penalties or even dissolution. Here’s how to file:

Who Needs to File?

All corporations, non-profits, LLCs, and limited partnerships registered in Florida must file an Annual Report, even if there are no changes to ownership or operations. The state filing fee varies by entity type.

When to File?

  • Deadline: May 1st every year
  • Late Fee: $400 if filed after May 1st (LLCs & corporations)

First, You Need to Look Up Your Florida Document Number

Before filing your Annual Report, you need your Florida document number, which is assigned to your business when registered with the state.

Steps to Find Your Document Number:

  1. Go to Sunbiz.org
  2. Click “Search Records”
  3. Select “Corporation / LLC”
  4. Enter your business name
  5. Click “Search” and locate your business
  6. Your document number will be listed next to your business name
  7. Write it down, then go back to Sunbiz home page.

Step-by-Step Filing Instructions:

  1. Visit Sunbiz.org and click on “Annual Report Filing.”
  2. Use your document number (see above) to locate your business.
  3. Review & update details such as the registered agent, officer names, and business address if needed.
  4. Pay the Filing Fee
    • LLCs: $138.75
    • Corporations: $150
    • Nonprofits: $61.25
  5. Submit and after payment, download and save your confirmation for your records.

Important Notes:

No changes? You still must file.
Missed the deadline? Your business may be dissolved by the state!
